DLPay.net 利用規約

本利用規約（以下「本規約」といいます。）は、株式会社viviON（以下「当社」といいます。）が管理運営するサービスである「DLPay.net」の利用条件を定めるものです。
お客様は、DLPay.netを利用される前に、本規約を必ずお読みください。なお、お客様は、DLPay.netを利用されたことをもって、本規約に同意したものとみなします。

  • 第1条　定義

    本規約において、次の用語はそれぞれ以下の通りの意味を有するものとします。

    1. 「DLsite」とは、株式会社エイシスが運営する、同人誌やゲーム等の販売プラットフォームのことをいいます。
    2. 「DLポイント」とは、DLsite内で販売される全ての商品やコンテンツの購入に用いることが出来るポイントのことをいいます。
    3. 「DLPay.net」とは、当社が管理運営する電子マネーサービスのことをいいます。
    4. 「シリアルコード」とは、DLPay.netで購入できる16桁の英数字のことをいい、DLsite内においてDLポイントに変換することができます。

  • 第2条　シリアルコードの提供

    1. 当社は、お客様に対して、お客様へ送信するEメールへの記載やWebページ上での表示等の電子媒体を通じてシリアルコードを提供します。
    2. お客様は、前項に規定の電子媒体の利用方法について、当社が別途定めるルールに従うものとします。

  • 第3条　DLPay.netの利用取消

    DLPay.netの利用に際し、お客様による申告内容等に何らかの虚偽が発見された場合、当社は何ら催告をせず直ちに利用許可を取消すものとします。この場合、当社は、DLPay.netの利用取消によりお客様に生じた損害について一切責任を負わず、また、お客様に対し何らの補償も行わないものとします。

  • 第4条　DLPay.netの利用

    1. お客様は、当社Webサイト内のDLPay.netにて、利用金額に応じて異なるシリアルコードを購入することができます。
    2. お客様は、DLsiteのマイページ内のシリアルコード変換ページにおいて購入したシリアルコードを入力すると、自動的に当該シリアルコードに応じたDLポイントに変換されます。

  • 第5条　再発行

    当社は、理由の如何を問わず、シリアルコードの再発行をいたしません。

  • 第6条　払戻

    当社は、理由の如何を問わず、シリアルコードについて、当社が特に認める場合又は法令等により払戻が義務付けられている場合を除き、払戻は一切いたしません。

  • 第7条　有効期限

    シリアルコードの有効期限は購入日から6ヶ月間とし、有効期限を経過したシリアルコードは失効します。なお、失効したシリアルコードの払戻はいたしません。

  • 第8条　シリアルコードの管理

    1. お客様は、購入したシリアルコードを自己の責任により厳重に管理し、第三者に知られないよう十分に注意を払わなければならないものとします。
    2. 当社は、シリアルコードの盗難、不正利用、紛失等に関しては、一切責任を負いません。

  • 第9条　反社会的勢力の排除

    当社は、お客様が暴力団又はその構成員等の反社会的勢力、若しくは、反社会的勢力と関連があると判断した場合、何らの催告を要さず、当社の提供する全てのサービスの利用を拒否し、DLPay.netのご利用を停止することができるものとし、お客様の保有するシリアルコードは失効するものとします。

  • 第10条　免責事項

    1. お客様が以下のいずれかに該当し、又は該当するおそれがある場合、当社は何らの催告を要さず、お客様によるDLPay.netのご利用をお断りするか、又はDLPay.netの全部又は一部のご利用を中断もしくは停止することができるものとします。

      1. (1) 不正な手段もしくは当社が推奨しない方法でDLPay.netを利用もしくはシリアルコードを取得し、又は不正な手段もしくは当社が推奨しない方法であることを知りながらDLPay.netを利用もしくはシリアルコードを取得した場合。
      2. (2) お客様が本規約に違反した場合。
      3. (3) 警察や裁判所その他の行政機関から要請又は命令があった場合。
      4. (4) 不正に金員を詐取する目的その他の不正な目的でDLPay.netを利用またはシリアルコードを取得した場合。
      5. (5) 上記の他、当社が不適切と判断した場合。
    2. 前項によりDLPay.netの利用を停止されたお客様のシリアルコードは失効するものとし、また、当社は、DLPay.netの利用停止によりお客様に生じた損害について、一切責任を負わず、また、お客様に対し何らの補償も行わないものとします。また、お客様が保有するシリアルコードを第三者が利用した場合も同様とします。

  • 第11条 DLPay.netの中止・中断

    お客様は、DLPay.netの保守、点検等のため、又は、天災、通信回線の故障その他のやむを得ない事情により、DLPay.netが中止又は中断される場合があることを了承するものとします。なお、当社は、当該中止又は中断により生じたお客様の損害について、一切責任を負わないものとします。

  • 第12条　DLPay.netの終了

    当社は、社会情勢の変化、法令の改廃その他当社の都合により、事前に告知のうえ、DLPay.netの全部または一部を終了する場合があります。

  • 第13条　損害賠償

    1. 当社の責めに帰すべき事由によりお客様が損害を被った場合、当社の損害賠償責任の範囲は、当該事由が発生した時点におけるお客様のDLPay.netの累計利用金額を上限とし、間接損害、特別損害及び逸失利益については予見可能性の有無を問わず損害賠償責任を負わないものとします。但し、当社に故意又は重大な過失がある場合はこの限りではありません。
    2. お客様は、本規約に違反したことにより当社、他のお客様又はそれ以外の第三者に損害を与えたときは、自己の責任と費用負担をもって、その一切の損害を直ちに賠償するものとします。

  • 第14条　専属的合意管轄裁判所

    お客様と当社との間で、訴訟の必要が生じた場合、当社の本社所在地を管轄する裁判所を専属的合意管轄裁判所とします。

  • 第15条　本規約の変更

    1. 当社は、当社のWebサイトに相当期間を定めて通知することにより、本規約を変更することができるものとします。
    2. 本規約の変更は、前項の通知に記載された変更適用日から効力を発生するものとし、効力発生日以降にお客様がDLPay.netを利用した場合は、その時点で変更後の本規約に同意したものとみなします。また、当該変更適用日より前に入手したシリアルコードについても、変更後の本規約が適用されるものとします。

  • 第16条　準拠法と正文

    1. 本規約は、日本法に準拠し、日本法に従って解釈されます。
    2. 本規約は、日本語で作成され、各言語に翻訳される。日本語版が正本であり、各言語版は参考として作成される。日本語版と各言語版の間に矛盾がある場合は、日本語版が優先されるものとします。

DLPay.net Terms of Use

This Terms of Use Agreement (hereinafter referred to as the "Agreement") sets forth the terms and conditions of use for DLPay.net, a service managed and operated by viviON Corporation (hereinafter referred to as the "Company").
Customers are requested to read these Terms of Use before using DLPay.net. By using DLPay.net, you are deemed to have agreed to these Terms of Use.

  • Article 1: Definitions

    In this Agreement, the terms below shall be defined as follows.

    1. "DLsite" refers to the platform operated by EISYS Inc. for the sale of doujinshi, games, etc.
    2. "DL Points" refers to points that can be used to purchase all products and content sold on DLsite.
    3. "DLPay.net" refers to an electronic money service managed and operated by the Company.
    4. "Serial Code" refers to a 16-digit alphanumeric code that can be purchased on DLPay.net and converted into DL Points on DLsite.

  • Article 2: Provision of Serial Codes

    1. The Company will provide customers with serial codes through electronic media such as e-mails, web page display, etc.
    2. Customers shall follow the rules separately established by the Company regarding the use of electronic media as stipulated in the preceding paragraph.

  • Article 3: Revocation of DLPay.net Privileges

    In the event that any false information is found in a customer's declaration or other information when using DLPay.net, the Company shall immediately revoke the customer's usage privileges for DLPay.net without notice. In such a case, the Company shall not be liable for any damages incurred by the customer due to the cancellation of DLPay.net, and shall not compensate the customer in any way.

  • Article 4 Use of DLPay.net

    1. Customers can purchase different serial codes at DLPay.net on the Company's website, corresponding to the amount spent.
    2. Customers can enter the purchased serial code on the serial code conversion page within DLsite's My Page and the code will automatically be converted into DL Points corresponding to said serial code.

  • Article 5: Reissuance

    The Company will not reissue serial codes for any reason.

  • Article 6: Refunds

    The Company will not refund any serial code for any reason, unless the Company specifically approves or is required by law to do so.

  • Article 7: Expiration Date

    Serial codes are valid for 6 months from the date of purchase and expire after the expiration date. No refunds will be made for expired serial codes.

  • Article 8: Management of Serial Codes

    1. Customers shall be responsible for keeping the purchased serial codes strictly confidential and shall take sufficient precautions to prevent them from being known to any third party.
    2. The Company shall not be liable for any theft, misuse or loss of serial codes.

  • Article 9: Exclusion of Anti-Social Forces

    If the Company determines that a customer is part of or in connection to an anti-social force such as a crime syndicate or its members, the Company may refuse the use of all services provided and suspend the customer's use of DLPay.net without notice, and any serial codes in possession shall be forfeited.

  • Article 10: Disclaimer

    1. The Company may refuse, suspend, or terminate a part of or all of a customer's usage privileges for DLPay.net without notice if they fall under any of the following or are likely to fall under any of the following

      1. (1) The customer has obtained a serial code through fraudulent or unauthorized means, or has used DLPay.net through fraudulent or unauthorized means knowing that such means are unauthorized or fraudulent.
      2. (2) The customer has violated any of the Terms and Conditions.
      3. (3) If the Company is requested or ordered to do so by the police, a court, or any other government agency.
      4. (4) A customer uses DLPay.net or obtains a serial code for the purpose of fraudulently obtaining money or for any other unauthorized purpose.
      5. (5) In addition to the above, if the Company deems a customer's actions to be inappropriate.
    2. The serial codes of customers whose use of DLPay.net is suspended pursuant to the preceding paragraph shall be forfeited, and the Company shall not be liable for any damages incurred by customers due to the suspension of DLPay.net, and shall not compensate customers in any way. The same shall apply in the event that a third party uses the serial code held by the customer.

  • Article 11: Discontinuance or Suspension of DLPay.net

    The customer acknowledges that DLPay.net may be suspended or terminated due to maintenance or inspection of DLPay.net, natural disasters, telecommunication failures, or other unavoidable circumstances. The Company shall not be liable for any damages incurred by the customer as a result of such suspension or interruption.

  • Article 12: Termination of DLPay.net

    The Company may terminate all or part of DLPay.net with prior notice due to changes in social conditions, amendment or abolition of laws and regulations, or for other reasons at the Company's discretion.

  • Article 13: Compensation of Damages

    1. If the customer suffers damages due to reasons attributable to the Company, the Company's liability for damages shall be limited to the amount of the customer's cumulative usage of DLPay.net at the time the event occurred, and the Company shall not be liable for indirect damages, special damages or lost profits, regardless of whether such damages were foreseeable. The Company shall not be liable for any loss or damage arising out of the use of the website. However, this shall not apply in the event of willful misconduct or gross negligence on the part of the Company.
    2. If the customer causes damage to the Company, other customers or any other third party as a result of a breach of these Terms and Conditions, the customer shall immediately compensate for all such damage at their own responsibility and expense.

  • Article 14: Exclusive Jurisdiction

    In the event that a lawsuit becomes necessary between a customer and the Company, the court having jurisdiction over the location of the Company's head office shall be the court of exclusive jurisdiction.

  • Article 15: Modification of Terms and Conditions

    1. The Company reserves the right to change these Terms and Conditions by providing notice on our website for a reasonable period of time.
    2. Any modification of these Terms and Conditions shall take effect on the effective date of the modification as stated in the notice in the preceding paragraph, and a customer's use of DLPay.net after the effective date shall be deemed to constitute acceptance of the modified Terms and Conditions at that time. Any serial codes obtained prior to the effective date of the change shall also be subject to the modified Terms and Conditions.

  • Article 16: Governing Law and Authentic Text

    1. These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan.
    2. These Terms and Conditions are prepared in Japanese and translated into other languages. The Japanese version is the original and each language version is for reference only. In the event of any inconsistency between the Japanese version and each language version, the Japanese version shall prevail.
